Public Offer for Legal and Consulting Partners of InTrouble
1.1. This document constitutes a public offer (hereinafter the “Offer”) made by Whale Solutions FZCO, operating under the brand InTrouble, inviting any eligible legal, consulting, or advisory firm (hereinafter the “Partner”) to enter into a partnership agreement under the terms and conditions set forth herein.
1.2. Acceptance of this Offer (by signing, or electronically confirming participation via the Partner Portal or official communication channels) shall be deemed as full and unconditional acceptance of all its terms.
2.1. InTrouble is a UAE-based legal-tech platform developed and operated by Whale Solutions FZCO.
2.2. It provides 24/7 emergency legal and advisory assistance to individuals and companies facing urgent legal, reputational, or procedural issues within the UAE.
2.3. The platform operates through:
- The official website: www.introuble.ae
- Direct web applications and referral links integrated into SEO, Google Ads, and social media campaigns (Facebook, Instagram, TikTok, X, LinkedIn)
- AI-powered case intake chatbots and WhatsApp channels
- PR, media, and professional partnerships across the UAE legal ecosystem
2.4. Clients submit initial requests describing their issue, which are automatically processed, categorized, and assigned to verified Partners according to their practice area and jurisdiction.
3.1. The Company offers the Partner participation in the InTrouble Partner Network, under which:
- The Company provides marketing, client acquisition, and case triage services.
- The Partner receives verified client requests that match their area of expertise.
- The Partner provides direct professional services to the client, under their own license and responsibility.
3.2. The Company does not interfere with or control the Partner’s legal practice but acts as an intermediary facilitating the initial client connection.
4.1. For each client referred through the InTrouble platform, the Partner shall pay the Company a commission of 20% (twenty percent) of the total value of services provided to that client.
4.2. This commission also applies to any subsequent services purchased by the same client from the Partner.
4.3. The commission is calculated from the total invoiced amount (exclusive of VAT and government fees) and must be settled within five (5) business days after the Partner receives payment from the client.
4.4. All payments are made in AED to the Company’s official corporate account indicated in Section 11.
4.5. The Partner shall provide a payment confirmation and summary of each completed client case for accounting and compliance purposes.
5.1. The Partner is granted access to the secure InTrouble Partner Portal via the Company’s website InTrouble.ae.
5.2. Access credentials (login and password) are provided by the Company upon activation.
5.3. The Company may communicate important updates, notices, or client information through the Partner’s registered email address, which also serves as their login credential.
5.4. The Partner is fully responsible for maintaining confidentiality of login credentials and ensuring data security in compliance with UAE data protection regulations.
6.1. Both Parties shall maintain confidentiality of all client information, documentation, and communication exchanged under this Offer.
6.2. The Partner shall process all client data strictly for the purpose of providing legal or consulting services and in full compliance with UAE and free-zone privacy regulations, including GDPR-aligned frameworks.
6.3. Unauthorized disclosure, resale, or transfer of client information to third parties is strictly prohibited.
7.1. The Company acts solely as a marketing and referral intermediary. It is not responsible for the quality or outcome of services provided by the Partner.
7.2. The Partner operates independently under their own trade license and bears full professional and legal responsibility before clients and authorities.
7.3. Nothing in this Offer shall create a joint venture, employment, agency, or representation relationship between the Parties.
8.1. The Company reserves the right to update the terms of this Offer, including commission rates or operational procedures, by posting a revised version on the InTrouble.ae website and notifying Partners by email.
8.2. Continued use of the Partner Portal or acceptance of new client referrals after such notification constitutes acceptance of the updated terms.
9.1. This Offer is valid indefinitely and may be accepted by any qualified Partner.
9.2. Either Party may terminate participation by providing at least fifteen (15) days’ written notice via email.

9.3. The Company may suspend or terminate cooperation immediately in case of:
- breach of confidentiality or data protection rules,
- unethical or illegal conduct, or
- reputational damage to InTrouble or Whale Solutions FZCO.
9.4. All commissions earned prior to termination remain payable according to Section 4.
10.1. This Offer and any relationship arising hereunder shall be governed by the laws of the United Arab Emirates, with jurisdiction vested in the courts of Dubai.
10.2. Any dispute shall first be attempted to be resolved amicably through negotiation before recourse to litigation.
